Acceptance of terms
By using our website or Services, you agree to our Terms of Service (“Terms”). If you don’t agree, please do not use our Services.
Who can use our Services
You must be at least 18 years old and able to form a binding contract. If you use the Services for our business, you promise you have authority to bind that business.
What we provide
We provide web design, app development, SEO, digital marketing, and related services described on our site. Specific project details and deliverables are set out in invoices, proposals, or separate service agreements.
Accounts & access
To use certain parts of the Services you may need an account. Keep your login details secure and tell us right away if your account is used without permission. You’re responsible for activity that happens under your account.
Payments, fees & refunds
- Fees for Services are shown on invoices, proposals, or subscription pages.
- Payment terms are Net 30 / due on receipt .
- Recurring subscriptions auto-renew until canceled. Cancel at least 30 days before renewal to avoid the next charge.
- Refunds follow the policy in your proposal or invoice. If no policy is provided, contact us and we’ll review requests case-by-case.
Intellectual property
- We and our licensors own the intellectual property in the Services and site content.
- For client projects, ownership of final deliverables will be as stated in your agreement (e.g., full transfer on final payment, or license).
- You grant us a limited license to use any materials you provide (e.g., logos, copy) only to perform the Services.
User content
If you post, upload, or submit content (comments, reviews, files), you retain ownership but grant YoWAD Tech a license to use that content to provide and promote the Services. You must have the right to share the content and it must not violate the law or third-party rights.
Prohibited conduct
You agree not to:
- Use the Services unlawfully or to harm others.
- Attempt to breach or overload our systems.
- Post content that is defamatory, infringing, obscene, or illegal.
We may suspend or terminate accounts that violate these rules.
DMCA / takedown
If you believe content on our site infringes your copyright, contact us at traaw09@yowadtech.com with: (1) identification of the infringing material, (2) contact info, (3) a statement under penalty of perjury that you’re the copyright owner, and (4) your signature. We will respond as required by law.
Third-party services
We may link to or integrate third-party services (payment processors, hosting, APIs). Those services are governed by their own terms. We aren’t responsible for third-party policies or actions.
Privacy
Our Privacy Policy explains how we collect and use personal data. By using the Services you agree to that policy in addition to these Terms.
Disclaimers — no guarantees
We aim to provide quality Services, but we don’t guarantee uninterrupted or error-free operation. Except where law requires otherwise, the Services are provided “as is” and “as available.”
Limitation of liability
To the maximum extent allowed by law, YoWAD Tech’s liability for any claim related to the Services is limited to the amount you paid us for the particular Services in the 12 months before the claim arose (or $100, whichever is greater). We’re not liable for lost profits, indirect or consequential damages.
Indemnification
You agree to defend, indemnify, and hold YoWAD Tech harmless from claims arising from your breach of these Terms, your content, or your use of the Services.
Termination
We can suspend or terminate access for violations or for any reason with notice. Termination doesn’t release you from paying fees earned prior to termination or other obligations that survive.
Changes to these Terms
We may update these Terms. If we make material changes we’ll provide notice (e.g., email or site banner). Continued use after notice means you accept the changes.
Governing law & disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any legal action will be in state or federal courts located in St Johns, Florida.
Severability
If a court finds part of these Terms invalid, the rest remains in effect.
Entire agreement
These Terms, together with any signed agreement, proposal, invoice, and our Privacy Policy, form the full agreement between you and YoWAD Tech. LLC.
